This page explains important disclosures, investment-related risks, and conditions that may apply to early access to Expat Mall's products, services, investment-related features, and business opportunities. Please read this page carefully before using our Investment Center, Investor Relations Center, pitch deck directory, deal rooms, or any related features.

This page supplements the Terms of Service and Privacy Policy. If a provision on this page conflicts with applicable law, applicable law controls.

1. About Expat Mall

Expat Mall is a U.S.-based platform being developed to help people living, working, investing, and building businesses across borders access information, services, communities, and commercial opportunities.

Depending on availability and eligibility, Expat Mall may include directories, member communities, professional services, business listings, pitch decks, educational content, investment-related information, and access-controlled investor resources.

Features may be introduced, modified, restricted, suspended, or discontinued as the platform develops. Not every feature, listing, or opportunity is available to every user or in every jurisdiction.

2. General Information Only

Unless expressly agreed otherwise in a separate written agreement, information published or made available through Expat Mall is provided for general informational, educational, and business-networking purposes.

Content may include company profiles, business plans, pitch decks, market commentary, investment summaries, financial projections, immigration-related information, professional directories, and third-party materials.

Such content is not, by itself:

• An offer to sell or a solicitation of an offer to buy any security or other financial instrument;
• Investment, financial, legal, tax, accounting, or immigration advice;
• A recommendation to invest in, acquire, lend to, or otherwise transact with a particular business or person;
• A guarantee of the accuracy, completeness, timeliness, or reliability of any information; or
• A guarantee that any business, investment, financing, or immigration-related objective will succeed.

The nature of these features may change over time. Depending on the specific offering, transaction, service provider, and applicable legal requirements, certain activities may be conducted by the issuer itself or through appropriately registered, licensed, or exempt third parties.

Unless expressly stated in definitive offering documents and permitted by applicable law, Expat Mall does not represent that an opportunity displayed on the platform has been approved, endorsed, or verified by a securities regulator or government agency.

The appearance of an issuer, pitch deck, project, or opportunity on Expat Mall does not establish that:

• The issuer satisfies any particular regulatory or financial standard;
• The issuer has completed independent financial, legal, operational, or background due diligence;
• The opportunity is suitable for any particular investor;
• The opportunity is available to users in every jurisdiction;
• The opportunity complies with every applicable securities, investment, immigration, or marketing law; or
• Expat Mall recommends or endorses the opportunity.

Users must review the definitive legal documents applicable to a specific transaction and confirm their own eligibility before participating.

4. No Investment Advice or Fiduciary Relationship

Unless expressly established by a separate written agreement and permitted by applicable law, Expat Mall does not act as a user's investment adviser, financial planner, fiduciary, attorney, accountant, or tax adviser.

Information on the platform is not tailored to a user's financial circumstances, objectives, investment experience, risk tolerance, liquidity needs, tax position, or immigration circumstances.

Nothing on the platform creates an advisory, fiduciary, agency, or other professional relationship between Expat Mall and a user merely because the user accesses information, creates an account, joins a community, communicates with an issuer, or expresses interest in an opportunity.

5. Investment Risks

Investing involves risk, including the possible loss of some or all of the money invested. An investor may receive no return and may be unable to recover invested capital.

Before making an investment decision, users should carefully consider risks relevant to the specific transaction. Depending on the opportunity, these may include the following.

5.1 Loss of Capital

A business may fail, a project may be abandoned, an issuer may default, or the value of an investment may decline. Investors may lose part or all of their investment.

5.2 Limited Liquidity and Transfer Restrictions

Private securities and other privately offered investments may be difficult or impossible to sell. Transfers may be restricted by contract, securities laws, issuer approval requirements, or other limitations. There may be no established secondary market.

5.3 Early-Stage Business Risk

5.5 Issuer and Third-Party Information

Information may be supplied by issuers, sponsors, brokers, advisers, service providers, or other third parties. Unless expressly stated otherwise, users should not assume that every statement, financial figure, document, or representation has been independently verified by Expat Mall.

5.6 Fraud, Misrepresentation, and Operational Risk

Despite any screening or review procedures that may be used, fraudulent conduct, inaccurate disclosures, conflicts of interest, cyber incidents, operational failures, or other misconduct may occur.

5.7 Economic, Political, and Regulatory Risk

Investments may be affected by changes in interest rates, inflation, currency exchange rates, tax rules, trade policies, political conditions, economic downturns, sanctions, and applicable laws or regulations.

5.8 Currency and Cross-Border Risk

International investments may involve multiple currencies, foreign exchange fluctuations, cross-border payment restrictions, withholding taxes, banking limitations, foreign ownership rules, and differences in legal protections or enforcement procedures.

5.9 Dilution and Capital Structure Risk

Equity investors may experience dilution from future fundraising, option grants, convertible securities, or other corporate actions. An investor's ownership percentage, voting rights, economic rights, and priority in a liquidation depend on the governing documents and applicable law.

5.10 Conflicts of Interest

Issuers, sponsors, platform operators, referral partners, intermediaries, and other participants may have financial or commercial interests in a transaction. These interests may differ from those of prospective investors. Material conflicts should be disclosed as required by applicable law and the relevant transaction documents.

5.11 Tax and Legal Consequences

Investment income, capital gains, losses, withholding obligations, reporting duties, ownership restrictions, and other consequences depend on the user's circumstances and applicable law. Users should consult qualified legal and tax advisers in the relevant jurisdictions.

5.12 No Guaranteed Returns

Unless expressly established by a legally enforceable written obligation, no statement on Expat Mall should be interpreted as a guarantee of principal repayment, investment returns, distributions, liquidity, an exit, or a particular financial outcome.

6. Issuers, Sponsors, and Opportunity Providers

Companies, project sponsors, founders, property developers, and other third parties may submit information about their businesses or opportunities for potential display or distribution through Expat Mall.

Submitting or displaying information does not mean that Expat Mall has approved the issuer, verified all representations, recommended the opportunity, or determined that the opportunity is suitable for a particular user.

Issuers and opportunity providers are responsible for the accuracy and completeness of their submissions, their disclosures, their compliance with applicable law, and their obligations to prospective investors and other participants.

Expat Mall may request supporting documentation, restrict access, decline submissions, remove listings, or suspend access where appropriate. These measures do not constitute a guarantee that an issuer or opportunity is legitimate, compliant, financially sound, or free of undisclosed risks.

7. Regulatory Status and Intermediary Services

The legal requirements applicable to an investment-related activity depend on the facts and circumstances, including the nature of the security, the role of each participant, the compensation structure, the manner in which an opportunity is marketed, the identity and location of prospective investors, and the jurisdictions involved.

Expat Mall does not represent through this page that it is registered as a broker-dealer, investment adviser, funding portal, investment company, transfer agent, or other regulated financial intermediary, or that it qualifies for any particular exemption from registration. Users should not infer any such status from the presence of investment-related features on the platform.

Where an activity requires registration, licensing, an exemption, a regulated intermediary, or other regulatory conditions, that activity must be structured and conducted in accordance with applicable law before it is offered or carried out.

References to third-party platforms, transaction providers, financial institutions, or professional firms do not imply endorsement, partnership, or regulatory approval unless expressly stated in an applicable written agreement or official disclosure.

8. Private Offerings and Investor Eligibility

Some opportunities, if made available, may be limited to particular categories of investors or other eligible participants. Eligibility may depend on applicable securities laws, the terms of the offering, the user's location, and other legal requirements.

For example, an offering relying on Regulation D under the U.S. Securities Act of 1933 may be subject to specific conditions concerning investor eligibility, solicitation, disclosures, and other matters. Different exemptions and offering structures have different requirements.

Access to a page, membership in Expat Mall, registration as a user, an indication of interest, or an account designation does not by itself establish that a user is eligible to participate in an offering.

Users must provide accurate information when eligibility information is lawfully requested. Issuers and other responsible parties must apply the eligibility, verification, disclosure, and offering procedures required for the relevant transaction.

No user should rely solely on a website access control, membership badge, self-certification, or general disclaimer as proof that an offering satisfies applicable law.

9. EB-5 and Immigration-Related Investment Opportunities

Expat Mall may publish general information about employment-based immigration, investor immigration, the EB-5 Immigrant Investor Program, regional centers, qualifying projects, immigration professionals, or related business opportunities.

Immigration outcomes are not guaranteed. An investment does not, by itself, guarantee visa issuance, immigration benefits, lawful permanent residence, removal of conditions, or any other immigration result.

Eligibility and outcomes may depend on applicable immigration laws and regulations, government adjudication, the source and path of investment funds, project and investment requirements, job-creation requirements, documentation, processing times, and individual circumstances.

Users should obtain independent advice from qualified U.S. immigration counsel and, where appropriate, securities counsel and tax professionals before investing or making immigration decisions.

Any references to an EB-5 project, regional center, issuer, developer, or immigration professional should be evaluated against current official records and definitive legal documentation. A listing on Expat Mall does not constitute government approval or an assurance that a project qualifies for EB-5 purposes.

Unless expressly stated in a separate written agreement and legally permitted, Expat Mall does not guarantee that it will act as an immigration adviser, securities intermediary, regional center, project sponsor, or representative of any government agency.

10. Early Access, Beta Features, and Experimental Services

Expat Mall may make certain products, tools, communities, directories, deal rooms, marketplace features, and other services available on an early-access, private-beta, pilot, preview, or experimental basis.

Early-access features may be incomplete, subject to change, unavailable at times, or discontinued without notice, subject to applicable law and any separate agreement.

By participating in early access, you acknowledge that:

• Features and functionality may change as the platform develops;
• Some information, integrations, workflows, and user interfaces may be incomplete or contain errors;
• Access may be limited by invitation, eligibility, geography, capacity, or other criteria;
• Feedback may be requested to help improve the platform;
• Early access does not guarantee permanent access, a particular launch date, or future product availability; and
• Participation does not, by itself, grant equity, ownership, revenue sharing, investment rights, or any other financial interest in Expat Mall.

Any financial, ownership, compensation, or other contractual rights must be established in a separate written agreement signed by the relevant parties.

11. Early Access to Investment-Related Features

Access to an early version of the Investment Center, Investor Relations Center, pitch deck directory, deal room, or related feature does not itself constitute an invitation or offer to invest in any particular security.

Investment-related content may be unavailable, restricted, incomplete, or subject to additional eligibility checks and legal documentation. Expat Mall may limit or revoke access where required by law, under its platform policies, or to protect users, issuers, or the platform.

Users must not interpret a preview, demonstration, expression of interest, waitlist registration, introduction, or early-access invitation as a commitment that a transaction will occur.

Expat Mall does not promise that any issuer will raise capital, that any opportunity will reach a funding target, or that any prospective investor will be accepted into a transaction.

12. No Offer, Commitment, or Subscription Through General Platform Use

Unless expressly provided in compliant offering materials and a valid transaction process, browsing an opportunity, downloading a pitch deck, requesting an introduction, joining a waitlist, sending a message, or expressing interest does not constitute a binding subscription, investment commitment, purchase agreement, or acceptance of an offer.

No investment should be made solely on the basis of general website content, promotional materials, summaries, marketing communications, or informal discussions.

Any transaction must be documented and completed through the applicable legal agreements and procedures, including any required investor qualification, risk acknowledgments, disclosures, subscription documents, payment arrangements, and regulatory checks.

13. Third-Party Services and External Platforms

Expat Mall may integrate with or refer users to third-party services, including payment processors, identity-verification providers, investment technology platforms, financial institutions, booking services, professional firms, document-storage services, and communication tools.

Third-party services may have their own terms, privacy policies, eligibility requirements, fees, security practices, and regulatory obligations. Unless expressly agreed otherwise, Expat Mall does not control and is not responsible for the independent operations, decisions, representations, or services of third parties.

Users should review the applicable third-party agreements and disclosures before sharing information, making payments, uploading documents, or participating in a transaction.

14. Information Security and Confidentiality

Users should exercise care when sharing personal, business, financial, legal, or investment-related information online.

Access controls, password protection, restricted communities, private deal rooms, and third-party document-sharing services may help limit access, but no online system can be guaranteed to be completely secure or confidential.

Unless a separate written agreement expressly provides otherwise, uploading or accessing a document through Expat Mall does not create a legally binding confidentiality, non-disclosure, or fiduciary obligation beyond any obligations imposed by applicable law or a separate agreement.

Users should not submit sensitive personal information or confidential documents unless the relevant feature is intended for that purpose and the applicable safeguards and terms have been reviewed.
