Welcome to the Expat Mall Investor Relations Center (the “Investor Relations Center”), a feature of Expat Mall operated by Expat Mall, Inc. (“Expat Mall,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Investor Relations Center, including investor profiles, issuer pages, investment-related information, private deal rooms, document libraries, investor communications, and related services made available through our platform.
By accessing or using the Investor Relations Center, creating an account, requesting access to an opportunity, or accepting an invitation to a deal room, you agree to these Terms. If you do not agree, do not access or use the Investor Relations Center.
Important: The Investor Relations Center is not, merely by virtue of these Terms or its presence on Expat Mall, a registered broker-dealer, investment adviser, securities exchange, funding portal, or other regulated financial intermediary. Whether any registration, licensing, or other regulatory obligation applies depends on the actual activities conducted by Expat Mall and other participants. Nothing in these Terms establishes or represents that Expat Mall is authorized to conduct regulated activities.
These Terms supplement the general Expat Mall Terms of Service, Privacy Policy, and any applicable disclosures, risk statements, opportunity-specific terms, issuer agreements, subscription documents, and confidentiality agreements.
If a separate written agreement applies to a particular investment opportunity, issuer, investor, or transaction, that agreement will govern the subject matter it expressly addresses to the extent of any conflict, subject to applicable law.

The Investor Relations Center is intended for individuals and organizations with a legitimate interest in investor relations, business opportunities, private investments, or related professional activities.
To use certain features, you may be required to:
Access to the Investor Relations Center or a particular deal room does not establish that you are eligible to invest in any security or other product. Eligibility may differ by offering, issuer, jurisdiction, investor category, and applicable law.
We may restrict or deny access where reasonably necessary for security, legal compliance, issuer requirements, platform integrity, or enforcement of these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account, subject to applicable law.
You must not misrepresent your identity, beneficial ownership, investor status, accreditation, financial circumstances, authority to act for an entity, or any other information requested in connection with an opportunity.
The Investor Relations Center may provide technology and communication features for viewing issuer information, discovering opportunities, organizing documents, managing investor relations, and communicating with issuers or other authorized participants.
Depending on the features available and the applicable agreements, the Center may include:
Features may change, be limited, or be discontinued. We do not guarantee that every feature will always be available or that any particular issuer, offering, or transaction will be listed.
Unless expressly agreed in a separate written agreement and permitted by applicable law, Expat Mall does not undertake to provide personalized investment advice, portfolio management, legal advice, tax advice, accounting advice, or immigration advice through the Investor Relations Center.
Information made available through the Center is provided for general informational, business, issuer-relations, or opportunity-review purposes. Its availability does not, by itself, constitute a recommendation that you purchase, sell, subscribe for, hold, or otherwise transact in a security or other investment.
You are responsible for independently evaluating any opportunity and obtaining advice from qualified professionals as appropriate to your circumstances.
Investment opportunities, issuer profiles, offering materials, financial projections, business plans, and related statements may be prepared or supplied by third-party issuers, sponsors, project owners, intermediaries, or other participants.
Unless expressly stated in a separate written agreement, Expat Mall does not represent or warrant that:
Any verification, screening, due diligence, or review actually performed by Expat Mall will be limited to the scope expressly described. Do not assume that listing an issuer or displaying its materials constitutes endorsement, a guarantee, or comprehensive due diligence.
Issuers are responsible for their own disclosures, representations, offering compliance, investor communications, transaction documents, and other obligations imposed by applicable law and contract.
Securities offerings and investment transactions may be subject to federal, state, and foreign securities laws, restrictions on solicitation and advertising, investor qualification requirements, transfer restrictions, filing obligations, and other legal requirements.
An issuer’s use of the Investor Relations Center does not establish that an offering is registered, exempt from registration, lawful in every jurisdiction, or suitable for every prospective investor.
Where an opportunity is offered under an exemption from securities registration, such as an applicable Regulation D exemption, eligibility and other restrictions may apply. Other exemptions or cross-border rules may apply to particular offerings. The legal requirements depend on the actual facts and the exemption or registration pathway being used.
You agree to provide accurate information reasonably requested for applicable eligibility or compliance checks. You must not access, share, promote, or participate in an offering in violation of applicable law or restrictions communicated to you.
Expat Mall may restrict access to an opportunity or remove materials where reasonably necessary to address legal, compliance, security, issuer, or platform concerns. Such action does not constitute a legal determination that an offering is lawful or unlawful.
Some opportunities may relate to immigrant investment programs, including the U.S. EB-5 Immigrant Investor Program, or to projects marketed to individuals considering immigration through investment.
Expat Mall does not guarantee immigration eligibility, visa issuance, petition approval, lawful permanent residence, job creation, repayment of invested capital, or any other immigration or investment outcome.
Immigration eligibility and investment compliance are separate questions. A project or investment opportunity should not be assumed to qualify for an immigration benefit merely because it references EB-5 or another immigration program.
Prospective investors should independently review the applicable offering documents and consult appropriately qualified U.S. immigration counsel, securities counsel, tax advisers, and other professionals before making a decision.
Access to a deal room or restricted document library may be conditioned on an invitation, eligibility review, confidentiality agreement, or other issuer-specific requirements.

Confidentiality obligations may also be governed by a separate non-disclosure agreement or other written contract. These Terms do not override rights or obligations that cannot lawfully be waived.
Confidentiality obligations do not prohibit disclosures protected by applicable law, including legally protected communications with government authorities, disclosures required by law, or other nonwaivable rights. Where legally permitted, provide notice before a compelled disclosure if the applicable agreement requires it.
You may be able to submit investor inquiries, comments, documents, company information, messages, and other materials through the Center.
You retain ownership of content you own, subject to rights you grant under these Terms and other applicable agreements. You grant Expat Mall a limited, non-exclusive, worldwide license to host, store, reproduce, display, transmit, and process your submissions as reasonably necessary to operate, secure, administer, and improve the relevant services; communicate with you; and perform the functions you request.
This license does not authorize Expat Mall to publicly disclose confidential offering materials or personal information without an appropriate legal basis or authorization. Separate terms may apply to content you publish publicly or submit to an issuer.
You represent that you have the rights and authority necessary to submit the materials you provide and that your submissions do not knowingly violate applicable law, third-party rights, or contractual confidentiality obligations.
You must not use the Investor Relations Center to:
The Investor Relations Center may link to or integrate with third-party providers, including transaction-management platforms, electronic-signature tools, identity verification services, payment providers, document storage services, and issuer websites.
Third-party services may be governed by separate terms and privacy policies. Expat Mall does not control every aspect of those services and is not responsible for their independent operations, content, security practices, or decisions, except as required by applicable law or expressly agreed in writing.
Review third-party terms and privacy notices before using their services or submitting information to them.
Any platform fee, subscription charge, issuer fee, transaction fee, or other amount payable through or in connection with the Center must be described in the applicable checkout flow, written agreement, or transaction documentation.
Unless expressly stated otherwise in a written agreement, Expat Mall does not hold itself out as the custodian of investor funds or securities. Do not send investment funds to Expat Mall unless a specific written arrangement expressly authorizes the transaction and has been reviewed for applicable legal and regulatory requirements.
Investment commitments, subscriptions, purchases, transfers, and other transactions are governed by their applicable offering documents, subscription agreements, purchase agreements, issuer agreements, and other binding transaction documents—not merely by access to the Center or these Terms.
The Investor Relations Center, including its software, design, branding, layout, and original platform content, is owned by or licensed to Expat Mall and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, reverse engineer, or commercially exploit platform materials except as authorized by Expat Mall, permitted by law, or expressly allowed by the applicable license.
Issuer names, logos, documents, and other third-party materials remain subject to the rights of their respective owners.
We use reasonable measures intended to protect the Investor Relations Center, but no online service, transmission, storage system, or authentication method can be guaranteed to be completely secure.
We may modify, suspend, restrict, or discontinue any feature, listing, account, or deal room where reasonably necessary for maintenance, security, compliance, issuer requirements, or platform operations, subject to applicable law and any binding agreement.
We do not guarantee uninterrupted access, error-free operation, or permanent availability of documents or communications. You are responsible for retaining copies of documents you are authorized to keep when appropriate.
To the extent permitted by applicable law, the Investor Relations Center and its general informational content are provided on an “as is” and “as available” basis.
We disclaim implied warranties only to the extent those warranties may lawfully be disclaimed. Nothing in these Terms excludes any warranty, right, or remedy that cannot legally be excluded or limited.
Nothing in these Terms guarantees the accuracy of third-party information, the success of an investment, the performance of an issuer, the availability of an offering, or any financial, business, or immigration outcome.
To the maximum extent permitted by applicable law, Expat Mall will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, loss of data, or investment losses arising from use of the Investor Relations Center.
To the maximum extent permitted by applicable law, Expat Mall’s aggregate liability arising from or relating to the Investor Relations Center will be limited to the amount you paid directly to Expat Mall for the relevant Center services during the twelve months preceding the event giving rise to the claim, or US$100 if you paid no such fees.
These limitations do not apply where prohibited by law and do not limit liability that cannot lawfully be limited, including any applicable liability for fraud, willful misconduct, or other nonwaivable claims. Applicable transaction agreements may contain separate liability terms.
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, and reasonable expenses arising from your unlawful conduct, material breach of these Terms, infringement of third-party rights, or misuse of the Investor Relations Center.
This provision does not require you to indemnify Expat Mall for losses to the extent caused by Expat Mall’s own conduct where such indemnification would be prohibited by law.
You may stop using the Investor Relations Center at any time. Account deletion or termination may not eliminate records we must retain for legal, compliance, security, accounting, dispute-resolution, or contractual purposes.
We may suspend, restrict, or terminate access where reasonably necessary because of a suspected breach, security incident, legal requirement, issuer instruction, or risk to users or the platform.
Termination does not automatically cancel, amend, or release obligations under an executed investment agreement, subscription document, confidentiality agreement, or other binding contract.
These Terms are intended to be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except to the extent another law is mandatorily applicable.
Any dispute-resolution procedure, exclusive venue, arbitration provision, class-action waiver, or other procedural term should be included only after review by qualified counsel and only to the extent enforceable under applicable law. Nothing in this section limits nonwaivable consumer or statutory rights.
We may update these Terms from time to time. We will update the “Last Updated” date when changes are made and provide notice when required by law or appropriate to the nature of the change.
Your continued use of the Investor Relations Center after revised Terms become effective constitutes acceptance where such acceptance is legally effective. If you do not agree to revised Terms, stop using the affected services.

This Privacy Policy explains how Expat Mall, Inc. For example, when you submit information directly to an issuer or complete a transaction through a third-party provider, that party may determine how certain information is used. Review the relevant party’s privacy notice before submitting information.
The categories of information we collect depend on how you use the Investor Relations Center, the features enabled, and the requirements of the relevant issuer or service provider.
Where required for a feature or opportunity, we or an authorized provider may process information relating to investor eligibility, qualification, accreditation, suitability, residency, jurisdiction, beneficial ownership, or authority to act for an entity.
The precise information required depends on applicable law, the offering structure, the issuer’s process, and the provider conducting the check. We do not intend to collect more information than reasonably necessary for the stated purpose.
Highly sensitive verification materials, such as identity documents or financial records, should be submitted through an approved secure workflow where one is provided. Do not assume that an ordinary profile, message, or email is an appropriate channel for such documents.
We do not assume that merely viewing an opportunity means that you have made an investment commitment or that you meet any particular investor qualification.
If the Center supports a paid feature or integrates with a transaction or payment provider, we may receive information such as payment status, transaction references, invoices, billing contact details, fee records, and limited payment metadata.
Payment-card or bank details may be collected directly by a third-party payment provider. The information we receive depends on the integration. We do not claim that Expat Mall itself processes or holds payment credentials unless that is actually part of the configured service.
We and our service providers may collect technical information such as IP address, browser and device type, operating system, referral information, timestamps, pages or features accessed, log records, approximate location inferred from technical data, cookie identifiers, and security events.
The information collected depends on our hosting, analytics, security, cookie, and other service configurations.
Where permitted by law and appropriate to the relevant purpose, we may receive information from issuers, authorized verification providers, transaction-management services, business partners, publicly available sources, or other participants in the Investor Relations Center.
We may use such information to maintain records, respond to requests, administer access, prevent fraud, support compliance, or correct inaccurate account details.

If you request access to an opportunity, submit an inquiry, or participate in an issuer’s workflow, relevant information may be shared with that issuer and its authorized representatives. The information shared may include your name, contact details, professional information, access-request responses, eligibility status, communications, and other information you choose or are required to submit.
Before submitting information to an issuer, consider whether the information is necessary and review any applicable issuer privacy notice or transaction documents.
We may share information with vendors that provide hosting, website infrastructure, authentication, cybersecurity, analytics, customer support, email delivery, document storage, electronic signatures, identity verification, compliance support, payment processing, transaction management, or other services on our behalf.
These providers may process information according to our instructions, their own contractual arrangements, and applicable law. Some providers may act as independent controllers or businesses for particular activities.
We may share information with a person or organization you authorize to act on your behalf, subject to applicable law and any necessary verification.

However, some profile fields, posts, comments, or other content may be visible to other members or the public depending on the feature, account settings, access controls, and platform configuration. Do not post confidential information in public or broadly accessible areas.
Access restrictions reduce exposure but do not guarantee that an authorized recipient will not copy, screenshot, download, disclose, or misuse information. Use the appropriate confidentiality and document-access controls for sensitive materials.
We and our service providers may use cookies, pixels, local storage, and similar technologies to maintain sessions, remember preferences, protect accounts, measure site performance, understand usage, and support other disclosed purposes.

When information is no longer reasonably required, we will take appropriate steps to delete, anonymize, or otherwise dispose of it, subject to applicable law and legitimate retention needs.
We use reasonable administrative, technical, and organizational safeguards intended to protect personal information from unauthorized access, loss, misuse, alteration, and disclosure.
No online platform or data transmission can be guaranteed to be completely secure. We therefore cannot promise absolute security. You should use strong, unique passwords, protect your devices, avoid sharing credentials, and notify us promptly if you suspect unauthorized account access.
If a data incident occurs, we will take steps appropriate to the circumstances and provide notifications where required by applicable law.
